Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Revenue Systems AI platform at revenuesystems.ai (the "Service"), operated by Revenue Systems AI ("we," "our," or "the Company"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

Revenue Systems AI is an AI-powered automation platform designed for home service businesses. The Service provides:

  • Automated AI voice calling to leads and customers
  • AI-powered SMS conversations and follow-ups
  • Property research and pricing estimation using public data sources
  • Appointment scheduling and calendar integration
  • Customer invoicing and payment collection via Stripe Connect
  • Lead management and contact CRM functionality
  • Webhook integrations for lead capture from third-party sources (including Facebook Lead Ads)
  • Owner notifications via email for call outcomes, bookings, and lead activity

2. Account Registration and Organizations

2.1 Account Creation

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Organizations

The Service operates on a multi-tenant organization model. Each organization represents a business entity. Organization owners may invite additional members with designated roles (owner, admin, or member). The organization owner is responsible for the actions of all members within their organization and for all AI communications sent on behalf of the organization.

2.3 Accuracy of Information

You agree to provide accurate, current, and complete information when creating your account and setting up your organization, including your business name, address, phone number, and industry. You are responsible for keeping this information up to date.

3. Credits, Billing, and Payments

3.1 Prepaid Credit System

The Service operates on a prepaid credit system. You purchase credits in advance, and usage costs are deducted from your balance as you use AI voice calls, SMS messages, property research, AI model tokens, and other billable services.

3.2 At-Cost Pass-Through Pricing

AI model usage, voice minutes, SMS messages, and research API calls are billed at cost — the actual amount charged to us by our third-party providers. We do not mark up these costs. Revenue is generated through subscription fees and build fees, not usage markups.

3.3 Non-Refundable Credits

Purchased credits are non-refundable except where required by applicable law. Unused credits remain available in your account for as long as your account is active.

3.4 Auto-Refill

You may enable automatic credit refill. When enabled, your account will be automatically charged when your credit balance falls below your configured threshold. You may disable auto-refill at any time through your account settings.

3.5 Customer Payments via Stripe Connect

The Service integrates with Stripe Connect to allow you to send invoices and collect payments from your customers. Payments are deposited into your connected Stripe account, subject to Stripe's terms of service and processing fees. We are not responsible for Stripe's processing fees, payment disputes, or chargebacks.

4. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited or spam communications in violation of applicable laws
  • Make automated calls or send automated messages without prior express written consent from recipients
  • Violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, or any applicable federal, state, or local telecommunications regulations
  • Harass, threaten, or defraud any person
  • Misrepresent your identity or the identity of the AI agent during calls or messages
  • Transmit malware, viruses, or any harmful code
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Use the Service for any illegal purpose
  • Resell or redistribute the Service without our written consent
  • Overload or interfere with the Service infrastructure

5. Telecommunications Compliance

You are solely responsible for ensuring that your use of the automated voice calling and SMS features complies with all applicable telecommunications laws.

This includes but is not limited to:

  • TCPA Compliance: Obtaining prior express written consent from all call and SMS recipients before any automated communications are initiated through the Service
  • A2P 10DLC Registration: Ensuring your messaging campaigns are properly registered under Application-to-Person (A2P) 10-Digit Long Code requirements as mandated by carriers and the Campaign Registry
  • Call Recording Consent: Complying with one-party or two-party call recording consent laws in your jurisdiction and the jurisdiction of the call recipient
  • CAN-SPAM Act: Ensuring commercial email communications comply with the CAN-SPAM Act
  • Do Not Call: Maintaining compliance with the National Do Not Call Registry and state-specific DNC requirements
  • Opt-Out Handling: Honoring all opt-out requests immediately — our system enforces DND status when contacts reply STOP

You agree to maintain records of all consents obtained and to make such records available to us upon request. Failure to comply with telecommunications laws may result in suspension or termination of your account.

6. AI Disclaimer

The Service uses artificial intelligence to generate voice calls, SMS messages, property research, pricing estimates, and other outputs. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or inappropriate responses
  • You are responsible for reviewing and configuring AI prompts, voice settings, and automation behavior
  • AI pricing estimates are approximations based on publicly available property data and should not be treated as binding quotes without your review
  • AI-scheduled appointments are subject to your calendar and business constraints
  • We do not guarantee that AI interactions will result in successful outcomes, bookings, or conversions
  • You are ultimately responsible for all communications sent by the AI on behalf of your business
  • Customer personal information is transmitted to third-party AI providers during calls and SMS conversations to enable personalization

7. Third-Party Integrations

The Service integrates with various third-party services including VAPI, Twilio, Google Calendar, Stripe, OpenRouter, RapidAPI, Resend, Facebook, and others. You acknowledge that:

  • You may need to provide your own API keys or credentials for certain integrations, which are stored encrypted in our database
  • Third-party services are governed by their own terms of service and privacy policies
  • We are not responsible for the availability, accuracy, or performance of third-party services
  • Disruptions to third-party services may impact the functionality of our Service
  • Costs incurred from third-party services (e.g., Twilio SMS fees, VAPI call costs, OpenRouter tokens) are passed through at cost and are your responsibility

8. Data Ownership

8.1 Your Data

You retain ownership of all data you input into the Service, including contact information, business details, prompts, and configurations. We process this data on your behalf to provide the Service.

8.2 Customer Data

Your organization's customer data (contacts, conversations, call recordings, transcripts, messages, and event logs) belongs to your organization. You are the data controller for your customers' personal information, and you are responsible for ensuring that your collection and processing of such data complies with applicable privacy laws.

8.3 Aggregated Data

We may use anonymized and aggregated data derived from your use of the Service to improve our platform, develop new features, and generate industry benchmarks. This aggregated data will not identify you or your customers.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its software, design, features, algorithms, documentation, and all associated intellectual property, is owned by Revenue Systems AI. Nothing in these Terms grants you any rights to our intellectual property beyond the limited license to use the Service as described herein.

9.2 Your Content

You retain all rights to content you create within the Service, including custom prompts, knowledge base entries, and business configurations. You grant us a limited, non-exclusive license to use this content solely to provide and improve the Service.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may:

  • Perform scheduled maintenance with reasonable advance notice
  • Experience unplanned downtime due to technical issues or third-party service disruptions
  • Modify, update, or discontinue features of the Service at our discretion

We do not offer a formal Service Level Agreement (SLA). The Service is provided on a best-effort basis.

11. Limitation of Liability

To the maximum extent permitted by law, Revenue Systems AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Revenue Systems AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation, including TCPA, A2P 10DLC, and telecommunications laws
  • Any claims by your customers or leads related to communications sent through the Service
  • Failure to obtain proper consent before automated calls or messages are sent
  • Your content or data processed through the Service

13. Termination

13.1 By You

You may terminate your account at any time by contacting us at hello@revenuesystems.ai. Upon termination, your access to the Service will cease, and your remaining credit balance will be forfeited.

13.2 By Us

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, failed to comply with telecommunications consent requirements, or if required by law. We will provide notice of termination where practicable.

13.3 Effect of Termination

Upon termination, you may request a copy of your data within 30 days. After 30 days, we may delete your data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination will survive, including Limitation of Liability, Indemnification, and Governing Law.

14. Dispute Resolution

Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

16. Cookies

Our Service uses cookies for authentication, theme preferences, and analytics. For full details on cookies and tracking technologies used, please refer to Section 1.7 of our Privacy Policy.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email and/or by posting a notice on the Service dashboard. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Revenue Systems AI regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
